Attorney Biography

Kevin T. Collins joined Heller Ehrman as a shareholder in 2005 and is a member of the Firm’s Corporate/VLG Practice Group.

Experience

Mr. Collins focuses his practice on representing companies in the life sciences and healthcare sectors. His representation for these companies covers general corporate matters, securities law, SEC registered offerings and private placements, strategic partnering and licensing. His life science clients include large pharmaceutical companies, such as Bayer Healthcare, publicly-traded biotech and specialty pharmaceutical companies, such as Enzon Pharmaceuticals, Obagi Medical Products, Osteotech and Alfacell, and leading privately-held life science companies such as Helicon Therapeutics, Tengion and Aerovance.

  • Represented Obagi Medical Products Inc. in its initial public offering.
  • Represented Heartland Payment Systems Inc. in its initial public offering.
  • Represented Obagi Medical Products in its $144.9 million follow-on public offering.
  • Represented Heartland Payment Systems in its $145 million follow-on public offering.
  • Represented Enzon Pharmaceuticals in several public offerings of its common stock and a Rule 144A offering of $400 million of convertible notes.
  • Represented Enzon Pharmaceuticals in its license agreement with Schering-Plough for PEG-Intron.
  • Represented A.L. Industrier AS, the controlling shareholder of Alpharma Inc. in its sale of its interest in Alpharma for $305 million.
  • Represented Osteotech in a PIPE financing.
  • Represented Osteotech in its strategic alliances and marketing agreements with Musculoskeletal Transplant Foundation, Smith & Nephew and Depuy.
  • Represented Alfacell in PIPE financings.
  • Represented Bayer HealthCare AG in its collaboration agreement with Nuvelo for alfimeprase.
  • Represented Bayer Healthcare LLC in its license and collaboration agreement with Regeneron Pharmaceuticals for VEGF Trap.
  • Represented Sucampo Pharmaceuticals in its collaboration and license agreement with Takeda Pharmaceutical Company Limited for lubiprostone.
